Terms of Service

These Terms of Service ("Terms") govern your access to and use of OutreachAI (the "Service"), operated by Diop Digital ("we," "us," or "our").

By creating an account, you agree to these Terms. If you don't agree, don't use the Service.

1. The Service

OutreachAI is a cold-email outreach platform that helps small businesses find prospects, draft personalized emails using AI, send them via your connected Gmail account, and track replies. The Service is provided as-is on a subscription basis.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract. You must use the Service only for lawful business purposes.

3. Your account

You are responsible for keeping your account credentials secure. Notify us immediately if you suspect unauthorized access. You are responsible for all activity under your account.

4. Acceptable use

You agree NOT to use the Service to:

• Send spam, illegal, harassing, threatening, defamatory, obscene, or otherwise objectionable content
• Violate the CAN-SPAM Act, GDPR, or any other applicable anti-spam or privacy law
• Send emails to recipients who have unsubscribed, opted out, or otherwise indicated they do not wish to be contacted
• Impersonate any person or entity, or misrepresent your affiliation
• Send emails containing malware, phishing links, fraudulent offers, or content promoting violence or discrimination
• Send emails on behalf of someone else without their permission
• Resell, redistribute, or sublicense access to the Service
• Reverse-engineer, scrape, or attempt to extract proprietary technology underlying the Service
• Circumvent plan quotas, rate limits, or other technical restrictions
• Use the Service for any purpose that violates Google's Terms of Service or the Gmail Acceptable Use Policy

We monitor for abuse and reserve the right to suspend or terminate accounts that violate this section, with or without notice.

5. Email sending responsibilities

You are solely responsible for the emails you send through the Service. This includes:

• The accuracy and lawfulness of every email's content
• Compliance with CAN-SPAM, including a working physical mailing address and an unsubscribe mechanism (we provide one — leave it enabled)
• Honoring unsubscribe requests promptly
• Not contacting people on your suppression list
• Compliance with the laws of the jurisdictions you and your recipients are located in

We provide tools (compliance footer, unsubscribe links, suppression list) but cannot guarantee that your specific use complies with all applicable laws. Consult a lawyer if uncertain.

6. AI-generated content

The Service uses AI to draft emails. AI output may occasionally contain errors, inaccuracies, or fabricated claims. We provide guardrails to reduce this, but you remain responsible for reviewing and approving every email before it is sent. Do not send AI-drafted emails without first reading them carefully.

7. Subscription and billing

• Paid plans are billed monthly in advance via Stripe.
• Plan prices: Starter $79/mo, Pro $249/mo, Enterprise $999/mo. We may change prices with at least 30 days' notice to active subscribers.
• Subscriptions auto-renew until you cancel. You can cancel at any time from Settings → Manage Subscription. Cancellation takes effect at the end of your current billing period.
• No refunds for partial months. We may make exceptions at our discretion.
• If you exceed your plan's quotas, the Service will stop the relevant action (scraping, AI email generation) until your quota resets or you upgrade.
• Failed payments may result in account suspension after a reasonable grace period.

8. Third-party services

The Service integrates with Google (OAuth, Gmail, Maps), Stripe (payments), and OpenAI (AI). Your use of those integrations is also subject to their respective terms. We are not responsible for outages, errors, or changes in those third-party services.

9. Intellectual property

We retain all rights to the Service, its software, and its branding. You retain all rights to the content you create using the Service (prospect lists, emails you write or approve). You grant us a limited license to process your content as needed to provide the Service.

10. Privacy

Your use of the Service is also governed by our Privacy Policy.

11. Termination

You may delete your account at any time. We may suspend or terminate your account if you violate these Terms, if we believe you've engaged in fraud or abuse, or if required by law. Upon termination, your access ends immediately and your data is deleted within 30 days (except aggregate, anonymized analytics).

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL DELIVER ANY SPECIFIC BUSINESS RESULT.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any law, or (d) the content of emails you send through the Service.

15. Governing law and disputes

These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Snohomish County, Washington, and you consent to the jurisdiction of those courts.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced to active users by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
